The Customer named on the vox-ring Business Service Order Agreement and vox-ring ("vox-ring") agree that the terms and conditions on the vox-ring Business Service Order Agreement and these terms and conditions constitute the agreement (the "Agreement") for the provision of the Services selected by Customer and designated on a Service Order. Services may include Business and Hospitality commercial digital voice services, including enhanced voice, toll free and trunk services ("Voice") (each a "Service" and collectively "Services").
The terms and conditions in the "GENERAL TERMS AND CONDITIONS" section below are applicable to all Services. Additional terms and conditions apply to the Voice Service and should be reviewed in the "ADDITIONAL TERMS APPLICABLE TO VOICE SERVICE" section, as applicable.
General Terms and Conditions
Article 1. Definitions
Affiliate: Any entity that controls, is controlled by or is under common control with vox-ring.
Agreement: These terms and conditions and the Service Order Agreement executed by Customer.
vox-ring Equipment: Any and all facilities, equipment or devices provided by vox-ring or its authorized contractors at the Service Location(s) that are used to deliver any of the Services including, but not limited to, all terminals, wires, modems, lines, circuits, ports, routers, gateways, switches, channel service units, data service units, cabinets, and racks. Inside telephone wiring, whether or not installed by vox-ring, shall not be considered vox-ring Equipment.
Confidential Information: All information regarding either party's business which has been marked or is otherwise communicated as being "proprietary" or "confidential," or which reasonably should be known by the receiving party to be proprietary or confidential. Without limiting the foregoing, Confidential Information includes the Agreement, all Licensed Software, promotional materials, proposals, quotes, rate information, discount information, subscriber information, network upgrade information and schedules, network operation information (including outages and planned maintenance), invoices, and the parties' communications regarding such items.
Customer-Provided Equipment: Any and all facilities, equipment or devices supplied by Customer for use in connection with the Services.
Licensed Software: Computer software or code provided by vox-ring or required to use the Services, including documentation and updates.
Service(s): The Internet, Toll Free, Trunk and Voice services provided by vox-ring to Customer described in one or more Service Order(s). All Services are for commercial use only, except as otherwise expressly permitted herein.
Service Commencement Date: The date(s) on which vox-ring first makes Service available for use by Customer.
Service Order: A request for vox-ring to provide the Services to Service Location(s) submitted by Customer to vox-ring.
Service Term: The duration of time (commencing on the Service Commencement Date) for which Services are ordered, as specified in a Service Order.
Termination Charges: Charges that may be imposed by vox-ring if, prior to the end of the applicable Service Term, (a) vox-ring terminates Services for cause or (b) Customer terminates Services without cause. Termination Charges with respect to each terminated Service Order shall equal, in addition to all amounts payable under Section 5.3, seventy-five percent (75%) of the remaining monthly fees that would have been payable under the Service Order if the Services had been provided until the end of the Service Term. If termination occurs during the initial Service Term, Termination Charges shall also include 100% of any amount paid by vox-ring for Custom Installation.
Article 2. Delivery of Services
2.1 Orders
Customer shall submit a properly completed Service Order to initiate Services to a Service Location(s). A Service Order shall become binding when (i) it is specifically accepted by vox-ring, (ii) vox-ring begins providing the Services described, or (iii) vox-ring begins Custom Installation, whichever is earlier.
2.2 Speed
vox-ring makes no representation regarding the speed of the Internet Service. Actual speeds may vary and are not guaranteed.
2.3 Access
Customer, at no cost to vox-ring, shall secure and maintain all necessary rights of access to Service Location(s) for vox-ring to install and provide the Services. Customer shall provide adequate environmentally controlled space and electricity required for installation, operation, and maintenance of vox-ring Equipment.
2.4 Service Commencement Date
Upon installation and connection of the necessary facilities, or in the case of Voice, the day Voice Service is activated, vox-ring shall notify Customer that the Services are available for use. Any failure on the part of Customer to be ready to receive the Services on the Service Commencement Date shall not relieve Customer of its obligation to pay applicable Service charges.
2.5 vox-ring Equipment
vox-ring Equipment is and shall remain the property of vox-ring regardless of where installed. Customer shall not move, rearrange, disconnect, remove, attempt to repair, or otherwise tamper with any vox-ring Equipment. Customer is responsible for damage to or loss of vox-ring Equipment caused by Customer's acts or omissions.
2.6 Customer-Provided Equipment
vox-ring shall have no obligation to install, operate, or maintain Customer-Provided Equipment. All Customer-Provided Equipment must be fully compatible with the Services.
2.7 Engineering Review / Custom Installation
Each Service Order shall be subject to an engineering review by vox-ring. vox-ring will provide written notification of any required Custom Installation Fee, which Customer may reject within five (5) days.
2.8 Administrative Web Site
vox-ring may make administrative web sites available to Customer. Customer is responsible for the confidentiality of all user identifications and passwords.
Article 3. Charges, Billing and Payment
3.1 Charges
Customer shall pay 100% of the Custom Installation Fee prior to installation. Customer agrees to pay all charges associated with the Services, including installation charges, monthly recurring service charges, usage charges, per-call charges, service call charges, maintenance and repair charges, and applicable federal, state, and local taxes, fees, and surcharges.
3.2 Third-Party Charges
Customer may incur charges from third-party service providers separate and apart from amounts charged by vox-ring. All such charges are Customer's sole responsibility.
3.3 Payment of Bills
vox-ring will invoice Customer in advance on a monthly basis for monthly recurring Service charges. All other charges will be billed monthly in arrears. Customer shall make payment within thirty (30) days after the date of the invoice. Amounts not paid within such period will be considered past due.
3.4 Partial Payment
Partial payment of any bill will be applied to outstanding charges as solely determined by vox-ring. No acceptance of partial payment shall constitute a waiver of any rights to collect the full balance owed.
3.5 Payment by Credit Card
Upon Customer's request and vox-ring's acceptance, vox-ring will accept certain credit card payments. By providing a credit card number, Customer authorizes vox-ring to charge the card for all charges generated under this Agreement until terminated or upon sixty (60) days prior notice.
3.6 Credit Approval and Deposits
Initial and ongoing delivery of Services may be subject to credit approval. vox-ring may require a deposit (not to exceed an estimated two-month's charge) as a condition to providing Services.
3.7 Taxes and Fees
Customer shall be responsible for all applicable local, state, and federal taxes or fees.
3.8 Other Government-Related Costs and Fees
vox-ring reserves the right to invoice Customer for fees imposed by governmental bodies, including franchise fees and regulatory recovery fees that help defray contributions to universal service, telecom relay services, and 911/E911 programs.
3.9 Disputed Invoice
Customer must pay the undisputed portion of the invoice and submit a written claim by the invoice due date for any disputed amount. If unresolved within sixty (60) days, all disputed amounts become immediately due and payable.
3.10 Past-Due Amounts
Any undisputed payment not made when due will be subject to a reasonable late charge not to exceed the highest rate allowed by law. Customer agrees to pay all reasonable costs of collection.
3.11 Rejected Payments
Customer will be assessed a service charge up to the full amount permitted under applicable law for any check or other instrument rejected by the bank.
3.12 Fraudulent Use of Services
Customer is responsible for all charges attributable to Customer, even if incurred as the result of fraudulent or unauthorized use. vox-ring reserves the right to restrict, suspend, or discontinue Services in the event of fraudulent use.
Article 4. Term
4.1 Agreement Term
This Agreement shall terminate upon expiration of the final existing Service Order. If a Service Order does not specify a term, the Service Term shall be one (1) year from the Service Commencement Date.
4.2 Service Order Renewal
Upon expiration of the Service Term, this Agreement and each applicable Service Order shall automatically renew for successive one-year Renewal Terms unless prior notice of non-renewal is delivered at least thirty (30) days before expiration. vox-ring may modify charges for Voice and Internet Services upon thirty (30) days prior notice.
Article 5. Termination of Agreement and/or a Service Order
5.1 Termination for Convenience
Customer may terminate a Service Order or this Agreement at any time during the Service Term upon sixty (60) days prior notice, subject to payment of all outstanding amounts, applicable Termination Charges, and return of all vox-ring Equipment.
5.2 Termination for Cause
(a) If Customer is in breach of a payment obligation and fails to cure within ten (10) days, vox-ring may terminate this Agreement, suspend Service, and/or require additional deposits.
(b) Either party may terminate for material breach if the breach continues without remedy for thirty (30) days after notice of default.
(c) Either party may terminate immediately upon notice if the other party becomes insolvent, is involved in liquidation, is adjudicated bankrupt, or makes an assignment for the benefit of creditors.
5.3 Effect of Termination
Upon termination: vox-ring may disconnect Service; delete all data, files, and voicemails; assess and collect Termination Charges; retrieve vox-ring Equipment; and terminate Customer's Licensed Software rights.
5.4 Regulatory and Legal Changes
vox-ring may immediately terminate this Agreement if material changes in law, regulation, or Force Majeure events affect vox-ring's ability to provide the Services.
Article 6. Limitation of Liability; Disclaimer of Warranties
6.1 NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR ANY INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF REVENUE, USE, BUSINESS, OR PROFIT. THE ENTIRE LIABILITY OF VOX-RING FOR LOSS, DAMAGES, AND CLAIMS ARISING OUT OF DELIVERY OF THE SERVICES SHALL BE LIMITED TO A SUM EQUIVALENT TO THE APPLICABLE OUT-OF-SERVICE CREDIT.
6.2 THERE ARE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT WITH RESPECT TO THE SERVICES, EQUIPMENT, OR LICENSED SOFTWARE. VOX-RING DOES NOT WARRANT THAT SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF LATENCY.
6.3 vox-ring makes no warranties or representations with respect to the Services for use by third parties.
6.4 In no event shall vox-ring be liable for any loss arising out of stored data; any act of Customer, its users, or third parties; interoperability issues; or loss from viruses or harmful features.
6.5 Disruption of Service. vox-ring shall not be liable for any inconvenience or damage resulting from any interruption of the Services caused by Customer-Equipment, inability to access Service Locations, strikes, riots, war, malicious mischief, fires, floods, earthquakes, weather, power failure, or governmental orders.
Article 7. Indemnification
Each Party will indemnify the other from and against any third-party claims arising from negligence or willful acts related to this Agreement, including claims of U.S. patent or copyright infringement.
Article 8. Software & Services
8.1 License
Customer is granted a personal, nonexclusive, nontransferable, limited license to use the Licensed Software in object code only and solely to use the applicable Service during the corresponding Service Term.
8.2 Restrictions
Customer shall not (i) copy the Licensed Software except for emergency back-up; (ii) reverse engineer, decompile, or disassemble; (iii) sell, lease, license, or sublicense; or (iv) create derivative software based on the Licensed Software.
8.3 Updates
Customer consents to and shall provide free access for updates deemed reasonably necessary by vox-ring.
8.4 Ownership of Telephone Numbers and Addresses
Use of the Services does not give Customer any ownership rights in any telephone number or Internet/online addresses, including IP addresses, e-mail addresses, and web addresses.
8.5 Intellectual Property Rights
Title and intellectual property rights to the Services are owned by vox-ring or its licensors. Copying, redistribution, reselling, bundling, or publication is prohibited without express prior written consent.
Article 9. Confidential Information and Privacy
9.1 Disclosure and Use
All Confidential Information shall be kept by the receiving party in strict confidence and shall not be disclosed to any third party without express written consent.
9.2 Exceptions
Confidentiality obligations shall not apply to information that is already known, publicly available, rightfully obtained from a third party, independently developed, or required to be disclosed by law.
9.3 Remedies
The non-breaching party shall be entitled to seek equitable relief, including injunctive relief.
9.4 Monitoring
vox-ring has no obligation to monitor postings but reserves the right to do so and to refuse to upload, post, publish, transmit, or store any information that is unacceptable, undesirable, or in violation of this Agreement.
Article 10. Prohibited Uses
10.1 Resale
Except as otherwise provided, Customer may not sell, resell, sublease, assign, license, sublicense, share, provide, or otherwise utilize the Services with a third party.
10.2 Use Policies
Customer agrees that all uses of vox-ring Equipment and Services are legal and appropriate. vox-ring reserves the right to immediately terminate or suspend the Services for non-conforming use.
10.3 Violation
Any breach of this Article 10 shall be deemed a material breach, giving vox-ring the right to restrict, suspend, or terminate Service Orders without liability.
Article 11. Service Level Agreements
vox-ring's SLA defines the minimum Service expectations. The remedies set forth in the SLA shall be Customer's sole and exclusive remedy for any Service Interruption.
Article 12. Insurance
vox-ring shall maintain commercial general liability insurance with limits of at least one million dollars ($1,000,000) per occurrence.
Article 13. Miscellaneous Terms
13.1 Force Majeure
Neither party shall be liable for any delay or failure caused by force majeure conditions, except that Customer's obligation to pay for Services provided shall not be excused.
13.2 Assignment
Neither Party shall assign without prior written consent, which shall not be unreasonably withheld. vox-ring may assign to any affiliate, related entity, or successor without consent.
13.3 Export Law
Customer agrees to comply with all U.S. export laws and regulations.
13.4 Notices
Notices shall be in writing and given via personal delivery, overnight courier, or U.S. Certified Mail. Notices to Customer shall be sent to the Customer billing address.
13.5 Entire Understanding
The Agreement constitutes the entire understanding of the parties and supersedes all prior agreements, proposals, or representations.
13.6 Tariffs
vox-ring may file tariffs with regulatory agencies for certain Services. The terms of such Tariffs may, under applicable law, supersede the terms of this Agreement.
13.7 Construction
Any portion held invalid shall be replaced with a provision that reflects the original intention; the remainder of this Agreement shall remain in full force.
13.8 Survival
Rights and obligations that by their nature continue beyond termination shall survive.
13.9 Choice of Law
The domestic law of the state in which Service is provided shall govern this Agreement, except as superseded by federal law.
13.10 No Third Party Beneficiaries
This Agreement does not provide any third party with any remedy, claim, liability, or other right.
13.11 No Waiver
No failure to enforce any rights shall constitute a waiver.
13.12 Independent Contractors
The Parties are independent contractors. Neither Party is an agent, representative, or partner of the other.
13.13 Article Headings
Article headings are for reference only and shall not limit or control any term of this Agreement.
13.14 Compliance with Laws
Each Party agrees to comply with all applicable local, state, and federal laws and regulations.
Additional Terms Applicable to Voice Services
Article 16. Usage Billing
16.1 Voice Service calling plans billed as a flat monthly fee may not include certain call types (e.g., operator services, international calls), which will be charged on a per-call or measured basis.
16.2 Measured calls are recorded in whole minutes, with partial minutes rounded up. Charges are rounded up to the nearest whole cent.
16.3 Some providers (e.g., for international calls) charge for completed calls when the called party's line rings. If vox-ring is charged for such a call, vox-ring will charge Customer.
Article 17. Use Policy
17.1 Additional Use Restrictions. Voice Service may only be used at Service Location(s) where installed by vox-ring. Customer expressly agrees not to use Voice Service for auto-dialing, continuous or extensive call forwarding, telemarketing, fax broadcasting, or fax blasting, or any other use inconsistent with standard commercial calling patterns.
Article 17A. Service Limitation
17A.1 Disruption of Service. Voice Service will not be available when the network is not operating or if normal electrical power is interrupted and equipment does not have functioning backup. Battery backup performance is not guaranteed.
17A.2 Provision of Service. Voice Services are intended for commercial use only.
Article 18. Limitations of 911/E911
18.1 Limitations. Voice Services include a 911/E911 function that may differ from 911 or Enhanced 911 furnished by other providers. CUSTOMER ACKNOWLEDGES AND ACCEPTS ANY LIMITATIONS OF 911/E911.
18.2 Correct Address. vox-ring must have Customer's correct Service Location address. Moving Voice Service without approval may result in 911/E911 calls being directed to the wrong emergency authority.
18.3 Service Interruptions. If there is an electrical power outage, 911 calling may be interrupted if battery backup is not installed, fails, or is exhausted.
18.4 Suspension and Termination. Voice Service, including 911/E911, will be disabled if Customer's account is suspended or terminated.
18.5 LIMITATION OF LIABILITY. CUSTOMER AGREES THAT NEITHER VOX-RING NOR ITS ASSOCIATED PARTIES WILL BE LIABLE FOR ANY VOICE SERVICE OUTAGE, INABILITY TO DIAL 911, OR INABILITY TO ACCESS EMERGENCY SERVICE PERSONNEL. CUSTOMER AGREES TO DEFEND, INDEMNIFY, AND HOLD HARMLESS VOX-RING FROM ANY CLAIMS RELATING TO 911/E911 FAILURE OR OUTAGE.
Article 19. Voice Equipment Requirements
19.1 MTA. To use Voice Service, Customer needs a multimedia terminal adapter (MTA), application layer gateway (ALG), or analog telephone adapter (ATA). Customer agrees to keep the MTA plugged into a working electrical outlet at all times.
19.2 Incompatible Equipment. Voice Service may not support: (a) non-certified MTAs/ATAs/ALGs; (b) certain alarm and security systems, medical monitoring devices, fax machines, or dial-up modems; (c) rotary or pulse-dial handsets, certain PBX equipment, answering machines, or traditional Caller ID units; (d) casual/dial around (10-10) calling, 976/900/700/500 number calling; (e) 311/511 or other x11 calling (other than 411 and 911); (f) other call types not expressly set forth in vox-ring's product literature.
Article 20. Additional Limitations on vox-ring's Liability for Voice Service
20.1 Directories and Directory Assistance. Aggregate liability for errors or omissions in directory listings shall not exceed monthly charges paid for the affected period.
20.2 Customer Information. vox-ring reserves the right to delete Customer's voicemail, call detail, data, files, or other information in accordance with storage policies.
Additional Terms Applicable to Toll Free Services
Article 20A.
20A.1 Limitation. Customer must have Voice Services to purchase Toll Free Services and must map each Toll Free number to a Voice Service number.
20A.2 Term and Termination. Toll Free Services are offered on a month-to-month basis, terminable upon thirty (30) days notice, not subject to Termination Charges.
20A.3 Authorization. Customer authorizes vox-ring to act as its agent in initiating and provisioning Toll Free Service.
20A.4 Charges. Subject to the toll free pricing in the applicable Service Order; usage-based charges billed per-minute or per-message.
Additional Terms Applicable to Trunk Services
Article 20B.
20B.1 Limitation. Trunk Services are not intended for residential use.
20B.2 911 Notice for Trunk Services. Multi-line telephone systems ordinarily transmit the same generic location information for all 911 calls. vox-ring offers the opportunity to designate up to ten different zones with separately identified Emergency Location Information numbers. Customer is solely responsible for programming its telephone system and complying with applicable state laws regarding multi-line telephone systems and 911.
20B.3 Battery Back-Up Not Included. Trunk Services use electrical power from the Service Location. vox-ring does not provide battery backup; Customer is urged to arrange their own backup power supply.
20B.4 Customer Responsibility. Customer is solely responsible for providing and maintaining working PBX equipment and handsets, training users, and programming the telephone system. vox-ring does not support seven-digit local calling.
20B.5 Charges. Domestic long distance and inbound calls to toll-free numbers will be billed per-minute or per-message, with calls rounded to the next whole minute.
